Risen Kingdom Giants Network is committed to maintaining the highest standards of structural integrity, legal compliance, and moral accountability. Our operational and governance frameworks adhere strictly to Nigerian legal requirements across all tiers of government, conform to our Corporate Affairs Commission (CAC) approved Constitution, and align with global best practices for non-profit and faith-based organisations.

GOVERNANCE STRUCTURE

The governance framework of Risen Kingdom Giants Network establishes a clear separation between institutional oversight, advisory mentorship, and executive management to ensure objective decision-making, prevent conflicts of interest, and safeguard our mission.

BOARD OF TRUSTEES

The Board of Trustees functions as the supreme governing authority and legal custodian of the Incorporated Trustees of Risen Kingdom Giants Network under Part F of the Companies and Allied Matters Act (CAMA) 2020.

Legal Status & Composition: The Board consists of not less than three (3) and not more than seven (7) Trustees, appointed in accordance with Article 5 of our Constitution and registered with the Corporate Affairs Commission (CAC).
Tenure: In line with Article 5.4, Trustees hold office for a term of three (3) years and are eligible for re-appointment.
Statutory Qualifications: As mandated by Section 847 of CAMA 2020 and Article 5.2 of our Constitution, every Trustee must be an adult of sound mind, good moral standing, untainted by convictions for fraud or dishonesty, and committed to the aims of the Network.
Fiduciary Duties & Powers: Pursuant to Article 5.7, Trustees hold organisation assets in trust, represent the Network in legal matters, exercise oversight over policy formulation, and ensure all operations advance our statutory objectives.

EXECUTIVE COUNCIL & ADVISORY BOARD

Executive Council: In accordance with Article 8 of our Constitution, the daily administration of the Network is managed by an Executive Council comprising the Chairperson, Vice Chairperson, General Secretary, Assistant Secretary, Treasurer, Financial Secretary, Public Relations Officer, Programs/Projects Coordinator, and Youth & Children Representatives. Executive officers serve a term of three (3) years.
Advisory Board: Pursuant to Article 4.2(e), Advisors are appointed to provide spiritual counsel, professional expertise, and strategic guidance. Advisors serve as vision custodians and mentors without voting rights in administrative decisions.

ACCOUNTABILITY, TRANSPARENCY & FINANCIAL STEWARDSHIP

Every resource entrusted to Risen Kingdom Giants Network is managed with prudence, efficiency, and full alignment with donor intent.

Financial Controls & Signatories: Pursuant to Article 10.3 of our Constitution, bank account withdrawals strictly require dual signatures: the Chairperson alongside either the General Secretary or the Treasurer.
Financial Audits: Financial records are audited annually by an independent, qualified firm of chartered accountants appointed at the General Meeting, complying with Financial Reporting Council of Nigeria (FRCN) standards and Article 11 of our Constitution.
Statutory Filings: The organisation files bi-annual returns (due 15 July and 15 January) and annual returns accompanied by audited accounts with the Corporate Affairs Commission (CAC) as mandated by CAMA 2020.
Special Clause Compliance (Non-Profit Asset Lock): In strict adherence to Article 13 of our Constitution and CAMA 2020, all income and property are applied solely toward promoting our charitable objects. No portion is transferred by way of profit, dividend, or bonus to members.

REGULATORY COMPLIANCE FRAMEWORK

Risen Kingdom Giants Network maintains active compliance across all tiers of Nigerian law and applicable international regulatory frameworks:

A. Statutory & Corporate Compliance

Companies and Allied Matters Act (CAMA) 2020: Adherence to all provisions under Part F regarding constitution maintenance, trustee alterations, minute books, and regulatory filings.
Nigerian Code of Corporate Governance (NCCG): Implementation of governance principles applicable to the Not-for-Profit Sector (NPO) as guided by the Financial Reporting Council of Nigeria.

B. Anti-Money Laundering & Financial Crimes (AML/CFT/CPF)

SCUML Oversight: Full registration and active reporting compliance under the Special Control Unit Against Money Laundering (SCUML) of the Economic and Financial Crimes Commission (EFCC).
Statutory Laws: Strict adherence to the Money Laundering (Prevention and Prohibition) Act 2022 and the Terrorism (Prevention and Prohibition) Act 2022.
International Standards: Compliance with Recommendation 8 of the Financial Action Task Force (FATF) regarding Non-Profit Organisations.
Know Your Customer (KYC): Rigorous due diligence processes applied to all donors, partners, vendors, and contractors prior to executing financial transactions.

C. Data Protection & Privacy

Nigeria Data Protection Act (NDPA) 2023: Full compliance with regulations enforced by the Nigeria Data Protection Commission (NDPC). Personal data of beneficiaries, partners, donors, and staff is lawfully processed and secured.

D. Tax & Fiscal Responsibilities

FIRS Registration: Tax Identification Number (TIN) maintenance and compliance with Federal Inland Revenue Service requirements.
Remittances: Compliance with the Personal Income Tax Act (PITA) for Pay-As-You-Earn (PAYE) employee tax deductions, Value Added Tax (VAT) regulations where applicable, and withholding tax remittances.
CITA Exemption: Maintenance of non-profit tax exemption status under the Companies Income Tax Act (CITA) by applying all funds exclusively to non-profit objectives.
